This Agreement shall commence as of the date hereof and shall remain in effect until terminated. Either party, in its sole discretion, may terminate this Agreement by providing thirty (30) days written notice to the other Party.
I, by signing the application form,hereby acknowledge that I assume full responsibility for my actions while performing services for the customers assigned through www.woila.net or any of its authorized representatives. I shall provide and pay for all labor, materials, tools, equipment, travel, living, transportation, parking and all other necessary facilities for the execution and completion of the work assigned through www.woila.net . I will be working with www.woila.net on the rates specified in this form and will start and complete the work within agreed timeframes as specified by www.woila.net. I understand that time is the essence of my engagement and I shall complete the Services undertaken within the service levels as mentioned to me by www.woila.net from time to time. The rates agreed herein shall not exceed nor shall I demand additional fees from www.woila.net or its representatives, unless agreed upon in writing otherwise between me and www.woila.net. If for any reason, I am unable to take the work solicited through www.woila.net , it is my responsibility to ensure that I inform Woila.net or its representatives prior to the Invoice generation. If for some reason, I am unable to do so, I am liable for all penalties or customer issues arising in this regard.
I will receive the payment from www.woila.net on successful completion of every job order received through www.woila.net on a regular bi-monthly basis. I will be paying www.woila.net a 7.5% Service fee for every transaction generated by www.woila.net for my services for the duration that I am part of the website.
I understand that my engagement with www.woila.net is an independent contractor relationship and neither me nor my representatives shall at any time be construed as employees of www.woila.net or its affiliates, for the purpose of employment benefits.
During the Term of this Agreement and for one (1) year thereafter, as to any End Client (as hereinafter defined), I will not directly or indirectly compete with www.woila.net by soliciting or accepting any engagement with an End Client directly other than through www.woila.net.For purposes of this Agreement, “End Client” shall mean any person or entity to which I would be introduced by www.woila.net to or would be reporting to, directly or indirectly, or would be performing the Services, for purposes of an assignment hereunder.
Except for the purpose of carrying out my Service Provider’s duties with www.woila.net ,I shall not communicate or disclose to any third party or person any information or material designated as confidential or proprietary by www.woila.net or by the End Client or that by its nature should be deemed to be confidential or proprietary, except for such information that has fallen into the public domain.
I represent and warrant that A) I am qualified to provide the services as described in this form and have valid work permits required under the governing law of this agreement. B) the Services shall be performed in a workmanlike manner and shall comply with all terms and conditions of the contract documents, including, but not limited to, all quality standards set forth . Work not conforming with the foregoing warranty shall be deemed to be defective and I shall not be entitled to any compensation for such defective Work. C) the Services performed and the work prepared for www.woila.net or its End Client shall be of professional quality consistent with the specifications set forth in this form and any Exhibit. D)I will, at my sole expense, comply with all applicable laws, regulations, and requirements, and that the Services will not cause www.woila.net or me or the End Client to violate any State, Federal or local laws, including but not limited to any sales or use tax, Americans with Disabilities Act, environmental and toxic waste disposal, immigration, privacy laws and regulations, and equal employment laws
